If the key is active (currently being pressed) a rebind to it won take effect until you release it and press it again  So Your first bold point is the expected behaviour.

Okay, the config looks fine, but it's not right that it says E in your disguise kit, it should say T, according to your config. It also eliminates external keyboard software as the error source.
I'm lost, to be honest, especially if every other file is empty. What key do you use to open the disguise kit then?

Good thinking, but that problem wouldn't trick TF2 into thinking that E is the key for changing disguise team. The most probable cause at the moment is internal TF2 fuck up, I honestly have no idea what to do here. I don't think E is even the default key to do it, is it? I though it was "-" or something? How the hell did it get like this? This actually might be saved elsewhere, as the disguise kit is a part of the game HUD and not a standard action. I'm not sure where to look for it, though. in the VGUI folder or something? Maybe commandmenu.res or whatever that file is called?

Yep its the - (minus) key in default settings
edit: E in default settings is call for medic.

i can replicate this with only one key press at a time im afraid so its not a combination. i use the number 4 to change to the disguise kit and i also have wheel up and down on the mouse to change through weapons. both ways it says e.

Yeah, okay, definitely not a bind problem then. It's somewhere in the gui .res files, I'd guess, but I don't know where it is and I can't look it up as I'm still at work. What's weird is, that it doesn't change when you rebind it in the controls menu.
Have you tried to change the disguise button to E and then changing it to T again and rebind E for running forward?

doesnt work.
also i did unbindall in the menu then bound 4 to disguise case and mouseup and down to change weapons. when i went to it not only did it still say e and e worked but so did - (the default).
so i think i am at the point of reinstalling?

Well if you can't wait, I guess that would help. I want to try and see if I can find where that specific bind is stored, if anywhere.
Can you do that thing egg suggested? Open the disguise kit, then open the console and type bind "E" and see what it says. In your case it should be "+forward", except if something overrides as soon as you open the disguise kit. Try it with disguise kit closed and opened and compare.
